Terms of Service

The short version

Use ugivv honestly and lawfully. The software is free, and stays free. We make money when donations flow through our payment partner, not by charging you for features. Your data is yours, and you can take it with you whenever you like.

1. Agreement

These Terms of Service govern your access to and use of the ugivv website, applications, and related services (the "Service"), operated by ugivv. By creating an account or using the Service, you agree to these terms. If you do not agree, do not use the Service.

If you accept these terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

2. The Service

ugivv is a community management platform for nonprofits. It includes records for people and households, groups and volunteers, events and classes, care, announcements, giving and recurring plans, reporting, and a public giving page.

We may modify, suspend, or discontinue any part of the Service. Where a change is material, we will make reasonable efforts to give notice in advance.

3. Pricing

The ugivv platform is free to use. That includes every feature, unlimited people, unlimited team logins, and no plan tiers. There is no trial clock and no upgrade wall.

We are funded by standard payment processing on donations that flow through the Service. Current rates are published on our pricing section: 0.8% capped at $5 for bank transfers, 2.9% + 30¢ for cards online, and 2.4% + 10¢ for cards in person. Donors may choose to cover the processing fee at checkout. Rates may change with notice.

If we ever introduce a paid feature, we will say so clearly and it will not remove anything that is free today.

4. Eligibility

You must be at least 18 years old to create an organization or administer a workspace. Team members added to a workspace must be at least 16. You represent that you have the legal capacity to enter these terms and that your organization operates lawfully.

5. Accounts and roles

ugivv uses passwordless sign-in: we email a short-lived code rather than storing a password. You are responsible for the security of the email account you sign in with, and for activity that happens under your account.

Workspaces have roles, including Owner, Admin, and Manager, which determine what each person can see and do. Assigning roles appropriately, and removing people who leave, is your responsibility.

Tell us immediately if you suspect unauthorized access. We may suspend or terminate accounts that violate these terms or put the Service or its users at risk.

6. Your content and data

You retain ownership of the data and content you put into the Service. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display that content solely to operate and improve the Service for you.

You represent that you have the right to enter the information you record, including information about the people in your community, and that you will handle it in accordance with applicable law and any consent your programs require.

You can export your records in full at any time. Ending your use of ugivv is never a one-way door.

7. Donations and payment processing

Donations are processed by PaidYET, our payment partner. To accept donations you must complete PaidYET's onboarding and agree to its terms. Card and bank details are tokenized by PaidYET at the moment of entry; ugivv stores a token, never the number.

You are responsible for the accuracy of what you publish about your organization and its funds, for issuing receipts and tax statements to your donors, and for handling refunds, disputes, and chargebacks. We are not a party to the transaction between a donor and your organization.

You are responsible for your own tax and regulatory compliance, including maintaining any status that lets you solicit donations. ugivv does not provide legal, tax, or accounting advice.

9. AI features

The Service includes AI features such as drift detection, giving insights, drafted messages, self-updating audiences, and forecasts. They operate inside your workspace and respect the same role permissions as the person using them. Your data is never used to train outside models, and any AI action that changes something requires your confirmation.

AI output is a suggestion, not advice, and it can be wrong. Decisions about your people, your money, and your communications remain yours. Review drafted messages and projected figures before you rely on them.

10. Third parties

The Service integrates with third parties, including PaidYET for payments and providers for email delivery. Their services are governed by their own terms. We are not responsible for third-party services we do not control, and links we provide are for convenience only.

11. Intellectual property

The Service, including its design, logos, software, and documentation, is owned by ugivv and protected by intellectual property law. Your content is excluded. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

If you send us feedback or suggestions, we may use them without obligation or compensation to you.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error free, or secure, or that any report, projection, score, or AI output will be accurate. You use the Service at your own risk.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGIVV WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST DONATIONS, LOST PROFITS, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim relating to the Service will not exceed the greater of (A) the amount you paid us in the twelve months before the claim, or (B) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless ugivv from claims, damages, losses, and expenses, including reasonable attorney fees, arising from your use of the Service, your content, your solicitation or handling of donations, or your violation of these terms.

15. Termination

You may stop using the Service at any time, and you may request deletion of your account by contacting us. Export your records first: after closure, data is deleted on the schedule described in our Privacy Policy.

We may suspend or terminate access immediately for a breach of these terms, or if we discontinue the Service. Sections 6, 11, 12, 13, and 14 survive termination.

16. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict of law rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.

Before filing a formal claim, contact us and give us 30 days to resolve the matter informally.

17. Changes to these terms

We may update these terms. Where a change is material, we will give notice by email or in the app at least 14 days before it takes effect. The "Last updated" date above reflects the current version. Continuing to use the Service after a change means you accept it.
